Welcome to VLOOT VIA, a structured Out-of-Home (OOH) media discovery, booking and campaign management platform operated by YENCORP Technologies (Pty) Ltd ("YENCORP", "we", "our", or "us").

By registering for an account or using the VLOOT VIA platform, you ("User", "you", or "your") agree to be bound by these Terms and Conditions.

If you do not agree with these Terms, you may not register or use the platform.

1. About VLOOT VIA

VLOOT VIA is a web-based billboard discovery and booking system that enables:

Advertisers to search, compare and request billboard inventory
Media Owners to list and manage billboard inventory
Agencies to manage client campaigns
Finance users to process payments and reports

The platform includes search, booking schedules, site management, reporting and financial functionality similar to enterprise media management portals.

2. Eligibility

To register on VLOOT VIA:

You must be at least 18 years old.
You must have legal capacity to enter into a binding agreement.
If registering on behalf of a company, you warrant that you are authorised to bind that entity.

YENCORP Technologies reserves the right to request verification documents at any time.

3. User Accounts

3.1 Account Registration

When registering, you agree to:

Provide accurate, complete, and current information.
Maintain the confidentiality of your login credentials.
Accept responsibility for all activity under your account.

3.2 Account Security

You are responsible for:

Safeguarding your password.
Not sharing login credentials.
Not creating multiple fraudulent accounts.

We may suspend or terminate accounts where suspicious activity is detected.

4. User Roles

VLOOT VIA may provide different access levels, including but not limited to:

Administrator
Advertiser
Media Owner
Agency
Finance Manager

Access to certain features depends on your assigned role. YENCORP reserves the right to modify user permissions at its discretion.

5. Platform Services

The platform may include:

Site search & filtering (location, traffic, availability, LSM, etc.)
Booking schedules (including Gantt-style views)
Site performance reporting
Rate cards and pricing
Financial dashboards
Invoicing and payment processing
Notifications and alerts

All availability, traffic counts, performance metrics, and pricing displayed are subject to change and may depend on third-party data sources.

6. Booking Terms

6.1 Booking Requests

A booking request does not constitute a confirmed reservation.

Bookings become binding only once:

Confirmed by the Media Owner; and
Payment obligations have been met.

6.2 Availability

Displayed availability is indicative and may change in real time.

YENCORP does not guarantee uninterrupted availability of any site.

6.3 Cancellations

Cancellation policies may differ per Media Owner and will be displayed where applicable.
Service fees paid to YENCORP may be non-refundable unless otherwise stated.

7. Payments and Fees

7.1 Service Fees

VLOOT VIA may charge a service fee to:

Advertisers
Media Owners
Agencies

Fees may be percentage-based or fixed and will be displayed before checkout.

7.2 Payment Processing

Payments may be processed through integrated third-party gateways.

YENCORP is not liable for:

Payment gateway downtime
Bank processing delays
Third-party transaction failures

7.3 Taxes

Users are responsible for applicable VAT and tax obligations in their jurisdiction.

8. User Conduct

You agree NOT to:

Submit false booking requests.
Manipulate availability data.
Interfere with system security.
Upload unlawful, defamatory, or misleading content.
Reverse engineer or attempt to extract source code.

Violation may result in immediate account suspension.

9. Intellectual Property

All platform content, including:

Software architecture
Search algorithms
Analytics logic
Design elements
Branding and logos

are the intellectual property of YENCORP Technologies (Pty) Ltd.

You may not copy, distribute, modify or commercially exploit any part of the platform without written consent.

10. Data & Privacy

By registering, you consent to:

Collection of business and contact information.
Tracking of platform usage for security and analytics.
Storage of booking and financial records.

User activity may be logged for audit and fraud prevention purposes.

YENCORP will take reasonable technical and organisational measures to protect your data.

11. Platform Availability

We aim for high uptime but do not guarantee:

Continuous access
Error-free operation
Real-time data accuracy

Maintenance, upgrades, or force majeure events may interrupt service.

12. Limitation of Liability

To the fullest extent permitted by law:

YENCORP Technologies is not liable for indirect or consequential losses.
We are not responsible for disputes between Advertisers and Media Owners.
Our liability shall not exceed the total service fees paid in the preceding 3 months.

13. Indemnity

You agree to indemnify YENCORP Technologies against:

Claims arising from your misuse of the platform.
Breach of these Terms.
Fraudulent or misleading listings or bookings.

14. Suspension & Termination

We may suspend or terminate your account if:

You breach these Terms.
Fraud is suspected.
Payment obligations are not met.
Regulatory compliance requires it.

Termination does not remove outstanding financial obligations.

15. Amendments

YENCORP Technologies may update these Terms at any time.

Continued use of the platform after updates constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by the laws of the Republic of South Africa.

Any disputes shall be resolved in South African courts unless otherwise agreed.
